Welcome to calendar.dev. These Terms of Service ("Terms") govern your access to and use of the calendar.dev platform, including our website, APIs, mobile applications, and secure transcription and summarization services (collectively, the "Services"). These Terms constitute a legally binding agreement between you (and the entity you represent) and Calendar.dev, Inc. doing business as calendar.dev ("calendar.dev," "we," "us," or "our").
By creating an account, accessing, or using our Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.
We may modify these Terms at any time. We will provide notice of material changes through our Services or by other means. Your continued use of the Services after such notice constitutes your acceptance of the modified Terms.
To access certain features of our Services, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account. We reserve the right to disable any user account if we determine that you have violated these Terms.
calendar.dev provides secure AI-powered transcription and summarization services with cryptographic proofs and immutable audit trails, designed specifically for security-conscious organizations. Our Services may include:
We offer various subscription plans for our Services. By selecting a subscription plan, you agree to pay the applicable fees as described on our pricing page or as otherwise communicated to you. All payments are non-refundable unless otherwise specified or required by law.
For subscription-based Services, your subscription will automatically renew at the end of each subscription period unless you cancel it before the renewal date. You may cancel your subscription at any time through your account settings or by contacting our customer support team.
We reserve the right to change our prices upon reasonable notice. Such notice may be provided at any time by posting the changes to the calendar.dev website or via email.
The Services and all content, features, and functionality thereof, including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof (collectively, the "calendar.dev Content"), are owned by calendar.dev or its licensors and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.
These Terms do not grant you any rights to use the calendar.dev Content, logos, product or service names, or trademarks without our express written consent.
As between you and calendar.dev, you retain all rights, title, and interest in and to the content you upload, transmit, or process through the Services ("Customer Content"). You grant calendar.dev a non-exclusive, worldwide, royalty-free license to use, copy, transmit, store, and process the Customer Content solely to provide and maintain the Services to you and to improve our algorithms, consistent with our Privacy Policy.
We take data security and privacy seriously. Our collection, use, and processing of personal information are governed by our Privacy Policy, which is incorporated by reference into these Terms.
For on-premises deployments, you are responsible for maintaining the security of your infrastructure, networks, and systems where our Services are deployed.

Each party agrees to maintain the confidentiality of the other party's confidential information and to use such information only for the purposes of performing under these Terms. "Confidential Information" includes, but is not limited to, business plans, technology, software, financial information, and any other information marked as confidential or that would reasonably be understood to be confidential given the nature of the information and the circumstances of disclosure.
This confidentiality obligation does not apply to information that: (a) is or becomes publicly available through no fault of the receiving party; (b) was in the receiving party's possession or was known to it prior to receipt; (c) is rightfully disclosed to the receiving party by a third party without restriction; or (d) is independently developed by the receiving party without reference to the disclosing party's Confidential Information.
For enterprise customers, we provide a Service Level Agreement ("SLA") that outlines our commitments regarding service availability, performance, and support. The applicable SLA, if any, will be provided separately and incorporated by reference into these Terms.
For on-premises deployments, the SLA will cover only those aspects of the Services that are within our control and exclude factors related to your infrastructure, networks, and systems.
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICES OR THE SERVERS THAT MAKE THEM AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.
WHILE WE STRIVE FOR ACCURACY IN OUR TRANSCRIPTION AND SUMMARIZATION SERVICES, WE DO NOT GUARANTEE 100% ACCURACY. YOU ARE RESPONSIBLE FOR REVIEWING AND VERIFYING THE OUTPUT OF OUR SERVICES FOR YOUR SPECIFIC USE CASES.
IN NO EVENT SHALL calendar.dev, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF calendar.dev HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL BE LIMITED TO THE AMOUNT PAID BY YOU TO calendar.dev FOR THE SERVICES IN THE 12 MONTHS PRECEDING THE INCIDENT GIVING RISE TO THE LIABILITY.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR CERTAIN TYPES OF DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU.
You agree to defend, indemnify, and hold harmless calendar.dev, its officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, and expenses, including, without limitation, reasonable legal and accounting fees, arising out of or in any way connected with your access to or use of the Services, your violation of these Terms, or your violation of any third-party rights.
These Terms will remain in full force and effect while you use the Services. We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.
Upon termination, your right to use the Services will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
Following termination of your account or these Terms, we will delete your Customer Content according to our data retention policies, as described in our Privacy Policy. For on-premises deployments, you are responsible for retaining or deleting your own data.
You agree to comply with all applicable export and re-export control laws and regulations, including the Export Administration Regulations maintained by the U.S. Department of Commerce, trade and economic sanctions maintained by the Treasury Department's Office of Foreign Assets Control, and the International Traffic in Arms Regulations maintained by the Department of State.
These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions. You and calendar.dev agree to submit to the personal and exclusive jurisdiction of the courts located within New York County, New York.
Any dispute arising from or relating to the subject matter of these Terms shall first be attempted to be resolved through good faith negotiations between the parties. If the dispute cannot be settled through negotiation, it shall be submitted to mediation administered by the American Arbitration Association under its Commercial Mediation Procedures before resorting to arbitration.
Entire Agreement: These Terms, together with any other agreements or policies referenced herein, constitute the entire agreement between you and calendar.dev regarding the Services.
Severability: If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced.
Waiver: Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.
Assignment: You may not assign these Terms without our prior written consent, but we may assign or transfer these Terms, in whole or in part, without restriction.
Force Majeure: We will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including, but not limited to, acts of God, natural disasters, war, terrorism, riots, civil unrest, government action, labor disputes, or Internet service disruptions.
